Acceptance of Terms
By accessing or using IndNetGlobal, you agree to these Terms of Service and our Privacy Policy. If you use the platform for an organization, you confirm that you are authorized to accept these terms for that organization. If you do not agree, do not use the platform.
Accounts and Access
You must provide accurate account and organization information, protect credentials, maintain current user permissions, and notify us immediately of suspected unauthorized access. Users must be at least 18 years old. Accounts registered by automated methods are prohibited. Each user must have a unique account; shared credentials are not permitted.
Platform Role
IndNetGlobal provides B2B supplier discovery, marketplace listings, private procurement tools, documents, communications, and operational records. Business deals, contracts, pricing, taxes, delivery, product quality, warranties, and regulatory compliance obligations remain strictly between the buyer and supplier. IndNetGlobal is not a party to any transaction between users.
User Conduct
Users may not: submit false or misleading information, impersonate another person or organization, infringe intellectual property rights, upload malicious files or code, scrape protected services, bypass access controls, engage in bid rigging or price fixing, submit fake inquiries or quotes, harass other users, or use the platform for any unlawful activity. Violation may result in immediate account suspension.
Verification and Due Diligence
Verification indicators (badges, scores, ratings) are based on submitted data, documents, automated system checks, and manual review processes. They support commercial diligence but do not replace independent business, legal, financial, product quality, regulatory, and compliance checks. IndNetGlobal does not guaranty the accuracy, reliability, or completeness of any supplier or buyer representation.
Intellectual Property
IndNetGlobal owns the platform, brand name, logo, software, design, trade dress, and related intellectual property. Users retain ownership of content they submit (product listings, company profiles, documents) and grant IndNetGlobal a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, and archive that content as necessary to provide the service. This license ends when the content is deleted, subject to technical and legal retention requirements.
Data and Confidentiality
Organizations are responsible for the accuracy, legality, permissions, classification, and security of data they submit. Public listing data is visible to all platform users. Private workspace data (BOMs, quotes, documents, approvals) is protected by organization-level access controls. Users must not share confidential information unless authorized. IndNetGlobal implements platform controls to separate public and private data boundaries.
API Terms
Access to platform APIs is governed by additional terms. API use is subject to rate limits, authentication requirements, acceptable use policies, and versioning. API keys are confidential and must not be shared. IndNetGlobal may deprecate API versions with 90 days notice. Reverse engineering, decompiling, or circumventing API security controls is prohibited.
Beta Features
Beta, preview, or early access features are provided as-is for evaluation. They may contain bugs, limited support, reduced SLAs, and may change or be discontinued without notice. Feedback submitted about beta features may be used without obligation to the submitter.
Subscriptions and Payments
Paid plans, billing cycles, applicable taxes (GST, VAT), auto-renewals, payment methods, and plan limits are described at purchase or in the applicable order form. Payment is due in advance. Late payments may result in service suspension. All fees are non-refundable except as expressly stated in the Refund Policy. Payment processors (Razorpay) handle transaction data under their own terms. IndNetGlobal does not store full payment instrument details.
Suspension and Termination
We may suspend or restrict access immediately for: security risk, non-payment, policy violation, suspected fraud, unlawful activity, IP infringement claim, or material breach. Users may close accounts from workspace settings. Upon termination: access ceases, data is retained per Privacy Policy retention schedule, and outstanding fees become immediately due.
DMCA / Copyright Infringement
We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright, submit a notice to copyright@indnetglobal.com including: (a) identification of the copyrighted work, (b) the allegedly infringing URL, (c) your contact information, (d) a statement of good faith belief, and (e) your electronic or physical signature. We will process valid notices and may terminate repeat infringers.
Export Compliance
Users must comply with all applicable export control and sanctions laws, including those of India, the United States, and the European Union. The platform may not be used for, by, or on behalf of sanctioned entities, countries, or prohibited end users. Uploading controlled technical data without proper authorization is prohibited.
Dispute Resolution and Arbitration
Any dispute arising from these terms shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be finally settled by binding arbitration administered by the Mumbai Centre for International Arbitration (MCIA) in accordance with its rules. The arbitration shall be conducted in English in Mumbai, India. The award shall be final and binding. Neither party may consolidate claims or participate in class action arbitration.
Class Action Waiver
To the maximum extent permitted by law, all claims must be brought in the parties individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. This waiver applies to arbitration and court proceedings.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall IndNetGlobal, its affiliates, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or related to platform use, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.
Disclaimer of Warranties
The platform and all content are provided on an as-is and as-available basis without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, or accuracy. We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the platform is free of viruses or harmful components.
Indemnification
You agree to indemnify, defend, and hold harmless IndNetGlobal, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the platform, (b) your violation of these terms, (c) your infringement of any third-party right, or (d) content you submit or transmit through the platform.
Force Majeure
IndNetGlobal shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, cyberattacks, internet outages, power failures, or failure of third-party infrastructure.
Governing Law and Jurisdiction
These terms are governed by the laws of India. Subject to the arbitration clause above, courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Entire Agreement
These terms, together with the Privacy Policy, Cookie Policy, and any applicable order forms, constitute the entire agreement between you and IndNetGlobal regarding platform use and supersede any prior agreements or understandings.
Severability and Waiver
If any provision of these terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
Updates
We may update these terms to reflect platform, legal, security, or operational changes. Material changes will be communicated through platform notifications or email at least 30 days before taking effect. Continued use after an update means you accept the revised terms. If you do not agree, you may close your account before the changes take effect.
